End User License Agreement and Terms of Use

W9 Tracker is a cloud-based software platform designed to assist accounting professionals, bookkeepers, businesses, and authorized users with:

• W-9 collection and management
• Vendor tracking
• 1099 preparation workflows
• QuickBooks Online integration
• Tax data organization
• Exporting information to third-party filing providers
• Communication and outreach related to tax compliance

W9 Tracker does not directly file tax forms with the IRS or any governmental authority.

You must be at least 18 years old and legally capable of entering into binding agreements to use the Service.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to this Agreement.

Subject to this Agreement, Simple Accounting Tools LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use W9 Tracker solely for lawful internal business purposes.

You may not:

• sublicense or resell the Service;
• copy, reproduce, or redistribute the software;
• reverse engineer, decompile, or attempt to extract source code;
• interfere with or disrupt the Service;
• use the Service for unlawful purposes.

Users may create individual accounts and may participate in shared workspaces for accounting firms, businesses, or teams.

You are responsible for:

• maintaining the confidentiality of login credentials;
• ensuring authorized access within your organization;
• all activity occurring under your account or workspace.

You agree to immediately notify us of any unauthorized use or security breach.

The Service may store and process sensitive information including:

• Social Security Numbers (SSNs);
• Employer Identification Numbers (EINs);
• Taxpayer Identification Numbers (TINs);
• W-9 forms and PDFs;
• mailing addresses;
• accounting records;
• QuickBooks Online data.

You acknowledge that:

• you are responsible for obtaining all legally required consents from vendors or third parties;
• you are responsible for verifying the accuracy of all submitted information;
• use of the Service involves transmission and storage of sensitive data electronically.

We implement commercially reasonable security measures but cannot guarantee absolute security.

W9 Tracker may integrate with third-party platforms and services, including but not limited to:

• QuickBooks Online;
• Intuit APIs;
• Track1099;
• Tax1099;
• email delivery providers.

Your use of third-party services is subject to their own terms and privacy policies.

We are not responsible for:

• third-party outages;
• API failures;
• integration interruptions;
• changes made by third-party providers;
• incorrect or incomplete third-party data.

You authorize W9 Tracker to access connected third-party accounts as necessary to provide the Service.

W9 Tracker is a workflow and organizational tool only.

We do not guarantee:

• tax compliance;
• filing accuracy;
• IRS acceptance;
• deadline compliance;
• correctness of imported accounting data;
• correctness of exported filing data;
• TIN matching accuracy;
• vendor classification accuracy.

You remain solely responsible for:

• reviewing all data;
• verifying tax information;
• ensuring proper filings;
• meeting all legal and tax deadlines.

You should consult qualified tax professionals and legal advisors regarding compliance obligations.

The Service may allow users to send W-9 requests and related communications to vendors or third parties.

You are solely responsible for:

• the content of communications;
• obtaining any legally required consent;
• compliance with anti-spam, privacy, and electronic communication laws.

We are not responsible for:

• delivery failures;
• spam filtering;
• recipient disputes;
• bounced or blocked emails.

You agree not to:

• upload unlawful, fraudulent, or infringing content;
• attempt unauthorized access to systems or data;
• use the Service to distribute malware or harmful code;
• use automated scraping or abusive API activity;
• interfere with the operation or security of the Service.

We reserve the right to suspend or terminate accounts violating this Agreement.

All rights, title, and interest in W9 Tracker, including software, branding, design, workflows, and documentation, remain the exclusive property of Simple Accounting Tools LLC.

No ownership rights are transferred to users.

Our collection and use of information is governed by our Privacy Policy.

We may retain backups, logs, audit records, and certain stored information after account deletion requests:

• for security purposes;
• compliance purposes;
• fraud prevention;
• disaster recovery;
• operational continuity.

We are not obligated to immediately delete all residual backup copies.

We strive to maintain reliable service availability but do not guarantee uninterrupted access.

The Service may experience:

• downtime;
• maintenance windows;
• outages;
• integration interruptions;
• data synchronization delays.

We may modify, suspend, or discontinue portions of the Service at any time.

The Service is currently offered without charge; however, we reserve the right to introduce:

• subscription plans;
• usage-based pricing;
• premium features;
• paid integrations.

Any future paid services will be governed by additional pricing and billing terms.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLE ACCOUNTING TOOLS LLC DISCLAIMS ALL WARRANTIES, INCLUDING:

• MERCHANTABILITY;
• FITNESS FOR A PARTICULAR PURPOSE;
• NON-INFRINGEMENT;
• DATA ACCURACY;
• UNINTERRUPTED SERVICE;
• ERROR-FREE OPERATION.

WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR PRODUCE ANY PARTICULAR RESULT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLE ACCOUNTING TOOLS LLC SHALL NOT BE LIABLE FOR:

• INDIRECT DAMAGES;
• INCIDENTAL DAMAGES;
• CONSEQUENTIAL DAMAGES;
• LOST PROFITS;
• LOST DATA;
• MISSED TAX DEADLINES;
• TAX PENALTIES;
• IRS OR STATE PENALTIES;
• BUSINESS INTERRUPTION;
• THIRD-PARTY CLAIMS.

OUR TOTAL LIABILITY ARISING FROM THE SERVICE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

You agree to defend, indemnify, and hold harmless Simple Accounting Tools LLC and its owners, employees, contractors, and affiliates from any claims, damages, liabilities, or expenses arising from:

• your use of the Service;
• your violation of this Agreement;
• your uploaded data;
• your communications with vendors;
• your tax filings or compliance obligations.

We may suspend or terminate access to the Service at any time for:

• violations of this Agreement;
• security concerns;
• abuse;
• unlawful activity;
• operational reasons.

You may stop using the Service at any time.

Sections intended to survive termination shall remain in effect.

This Agreement is governed by the laws of the State of Utah, without regard to conflict of law principles.

Any dispute arising under this Agreement shall be resolved exclusively in the state or federal courts located in Utah.

You consent to the jurisdiction of those courts.

We may modify this Agreement at any time.

Updated versions will be posted at:

• https://w9tracker.xyz

Continued use of the Service after updates constitutes acceptance of the revised Agreement.
